1. Acceptance

These Terms of Use govern access to and use of the website at https://hsocean.eu and any content made available through it (the “Website”), operated by HS Ocean, S.L., with registered office at Gran Via de les Corts Catalanes, 613, 08007 Barcelona, Spain.

By accessing or using the Website you accept these Terms. If you do not accept them, please do not use the Website.

Commercial relationships with insurers, intermediaries and publishers are governed by separate signed agreements. Where a signed agreement conflicts with these Terms in respect of that relationship, the signed agreement prevails.

2. What this Website is, and is not

The Website is an informational resource describing a business-to-business marketing service. It is not, and must not be read as:

• an offer of insurance, or an invitation to buy any insurance product;
• insurance distribution, advice, mediation or a personal recommendation;
• an application for cover of any kind;
• financial, legal, tax or regulatory advice.

HS Ocean is not an insurance undertaking, an insurance intermediary, a bank or a lender, and holds no permission to carry out insurance distribution. Insurers, intermediaries and comparison platforms that receive consumer enquiries through us are independent businesses, solely responsible for their own products, pricing, terms, disclosures and regulatory permissions.

There are no forms on the Website. Any communication with us begins with a message you choose to send.

3. Permitted use

You may access and view the Website for your own internal business evaluation. You agree not to:

1. use the Website for any unlawful purpose or in breach of these Terms;
2. copy, scrape, harvest or systematically extract content by automated means without our prior written consent;
3. attempt to gain unauthorised access to the Website or to any system or network connected to it;
4. probe, scan or test the vulnerability of the Website, or circumvent any security measure;
5. introduce malware or any code intended to disrupt or damage software, hardware or communications equipment;
6. place an unreasonable load on the Website or its infrastructure;
7. reverse engineer, decompile or disassemble any part of the Website;

We may suspend or block access where we reasonably believe these Terms or applicable law have been breached.

All content on the Website — text, layout, graphics, iconography, photographs, source code, compilations and the HS Ocean name and marks — belongs to HS Ocean, S.L. or its licensors and is protected by intellectual property law.

We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Website for the purpose described in section 3. No other right is granted. In particular you may not reproduce, republish, distribute, publicly communicate or create derivative works from the content without written consent, use our marks in a way likely to cause confusion or to suggest endorsement, or remove any proprietary notice.

Photographs on the Website are used under the licence of their respective providers and are not part of any licence granted to you.

4.1 Feedback

If you send us suggestions about the Website or our services, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or obligation to you.

5. Credentials and partner materials

Where we provide credentials, access details, briefs or documentation in connection with a commercial relationship, you agree to keep them confidential, to restrict access to personnel who need them, to tell us without delay of any suspected compromise, to accept responsibility for activity carried out using them, and to use the materials only for the purpose set out in the relevant agreement.

We are not liable for loss arising from a failure to protect credentials issued to you.

6. Personal data

Our processing of personal data is described in our Privacy Policy and our use of cookies in our Cookie Policy. Both form part of these Terms by reference.

7. Disclaimers

The Website and its content are provided as they are and as available, without any warranty, express or implied, to the fullest extent permitted by applicable law.

In particular we do not warrant that the Website will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Website or its infrastructure is free of harmful components. We do not warrant that information on the Website is accurate, complete or current at any given moment.

Descriptions of our standards, checks and working methods are provided for information. They do not create a contractual commitment except where set out in a signed agreement, and they may change as our practices develop.

Nothing in these Terms excludes or limits liability where it cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or for fraudulent misrepresentation.

8. Liability

To the fullest extent permitted by applicable law, and subject to section 7, HS Ocean shall not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of data or loss of goodwill arising out of or in connection with your use of, or inability to use, the Website.

Our total liability arising out of or in connection with the Website shall not exceed one hundred euros (EUR 100). Liability arising under a signed commercial agreement is governed by that agreement and not by this section.

9. Third-party links

The Website may link to third-party websites and resources. Those links are provided for convenience only. We do not control, endorse or assume responsibility for third-party content, products or practices, and any dealings with a third party are solely between you and that party.

10. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them or with the Website are governed by Spanish law.

The courts of the city of Barcelona, Spain, shall have exclusive jurisdiction, save where a mandatory rule of law confers jurisdiction elsewhere.

11. General

11.1 Changes

We may revise these Terms. A revision takes effect when it is published, and the date at the top of this page will be updated. Continued use of the Website after a revision means you accept it.

11.2 Severability

If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions continue in full force.

11.3 No waiver

A failure to enforce a provision is not a waiver of the right to enforce it later.

11.4 Assignment

You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or transfer of business.

11.5 Entire agreement

These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and HS Ocean regarding the Website.

11.6 Force majeure

We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
